3. Client Responsibilities
As a client, you agree to:

- Respond to requests for feedback, content, and approvals within agreed timeframes. Delays may affect project timelines.
- Ensure you have full ownership rights or proper licences for all content, images, logos, and materials you provide to us.
- Use the completed work only for lawful purposes and in accordance with applicable laws and regulations.
4. Intellectual Property
All design concepts, drafts, mockups, and work-in-progress materials remain the property of MediaWave Digital until full payment has been received.
Upon receipt of full payment, you receive the rights to the final agreed deliverables for your own use. Unless agreed otherwise in writing, MediaWave Digital retains the right to display completed work in our portfolio, case studies, and marketing materials.
Any third-party assets used (stock images, fonts, plugins) remain subject to their respective licences and may require separate licensing by the client for continued use.
5. Payment
Payment terms are outlined in each individual project proposal. Standard terms include:
- A deposit may be required before work begins, as specified in your proposal.
- Remaining balance is due upon completion or at agreed milestones.
- Late or outstanding payments may result in work being paused or withheld until balances are settled.
- We accept payment via the methods specified in your proposal.
6. Revisions
The number of revision rounds included in your project is specified in your proposal. Revision rounds cover reasonable amendments to agreed design and content — not complete redesigns or scope changes.
Revisions beyond the agreed number, or changes that significantly alter the project scope, may be quoted and invoiced separately.
7. Limitation of Liability
MediaWave Digital is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of revenue, data, or business opportunity.
Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
8. Termination
Either party may terminate a project or service agreement with 14 days written notice. In the event of termination:
- Work completed to date is billable and payment is due for those services.
- Any deposits paid are non-refundable unless otherwise stated in your proposal.
- All work-in-progress materials remain the property of MediaWave Digital until outstanding balances are paid.
9. Website Use
You agree to use our website only for lawful purposes. You must not attempt to gain unauthorised access to any part of our website, introduce malicious code, or engage in any activity that disrupts or damages the website or its users.
10. Disclaimer
Our website and services are provided "as is" without warranty of any kind. While we strive to ensure accuracy and quality in all our work, we make no guarantees regarding specific business outcomes, search engine rankings, or traffic results. Marketing and SEO results vary based on many factors outside our control.
11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of laws principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Connecticut.
12. DMCA / Copyright Takedown Notice
MediaWave Digital respects the intellectual property rights of others and expects users of our website and client portal to do the same. If you believe content on our website infringes your copyright, please submit a written notice to our Designated Agent containing:
